These terms are the agreement between you and Upgram LLC about using the Upgram apps for iOS and Android and the website upgram.org. We have tried to write them so you can read them.

Who we are

Upgram is run by Upgram LLC, a Maryland limited liability company. By creating an account or using Upgram you agree to these terms, to the community rules below and to our Privacy Policy, which explains how we handle your data. If you do not agree, do not use Upgram.

Who can use Upgram

  • You must be at least 14 years old. We ask for your date of birth when you sign up, and we cannot create an account for anyone younger.
  • If you are under 18 (or under the age of majority where you live), you may use Upgram only with the permission of a parent or legal guardian, who agrees to these terms for you and is responsible for your use, including purchases. Some features work differently for you: for example, a new direct message can reach you only from an account you follow.
  • If we learn that someone under 14 has an account, we close it and delete its data.
  • You may not use Upgram if US law prohibits us from providing it to you, including if you are on a US sanctions list or located in a country or region under comprehensive US sanctions.
  • Your account is for you alone. Do not share it, sell it, or create accounts to get around a suspension or a block.

Your account

Upgram has no passwords. You sign in with a one-time code sent to your email address, or with Sign in with Apple or Google, so keep access to your email and to those accounts secure. Give accurate information and do not impersonate anyone. Your username, name, photo and bio are public. You are responsible for what happens under your account; tell us at [email protected] if you think someone else has used it.

Paid courses, purchases and refunds

  • Paid courses are sold only inside the iOS and Android apps, through App Store or Google Play in-app purchase. The price you pay is the one the store shows you, in your currency and including any tax the store collects. The store charges you and its own terms of sale also apply. We never see your card details. You cannot buy a paid course on upgram.org.
  • A one-time purchase gives your Upgram account access to that course, including later updates, for as long as Upgram offers the service and your account exists. If an instructor archives or unpublishes a course, people already enrolled keep access. If we must remove a course for legal reasons, for example a valid copyright complaint, you may lose access to it.
  • Your purchases belong to your Upgram account, not to your store account. Restore Purchases cannot move a course to another Upgram account, and if you delete your Upgram account you lose access to the courses bought on it.
  • Refunds are handled by the store you bought from, under its policy. On Apple, request one at reportaproblem.apple.com; only Apple can grant or refuse it. On Google Play, request it in Google Play or write to us and we can refund it from our side.
  • If a purchase is refunded, your access to that course ends. Certificates you have already earned stay valid.
  • If you are charged twice for a course you already own, tell us: we hold the second charge and help you get it refunded.

Payouts to instructors are not open yet. Before they open, instructors will be asked to accept an Instructor Agreement covering the revenue share, the payout schedule and refunds.

Your content stays yours

You keep ownership of everything you upload or post. So that we can run the service, you give Upgram a worldwide, non-exclusive, royalty-free licence to host, store, copy, encode, stream, display and distribute your content on Upgram to the audience you choose; to create captions, transcripts, summaries, tags, thumbnails and search data from it, including with AI services; to show it, and short excerpts and thumbnails of it, when promoting Upgram and when other people share links to it; and to let our service providers do these things for us. Other users may view your public content on Upgram and share links to it. We do not sell your content to anyone.

The licence ends for each piece of content when you delete it, except for copies that remain in backups for a short time, for the access of people who already enrolled in a paid course, and for copies we must keep for legal reasons.

If you delete your account without deleting your content first, your published videos, shorts, courses, comments and reviews stay on Upgram without your name, and the licence continues for them. If you want them removed too, delete them before you delete your account, or write to [email protected] and we will remove them.

You promise that you have every right needed to post your content, including for music, footage and images and the consent of the people who appear in it, and that posting it does not break these terms or the law.

Community rules: zero tolerance

Upgram has zero tolerance for objectionable content and for abusive users. Content that breaks these rules is removed, and accounts that post it, or that abuse, harass or threaten others, are suspended or closed, without warning where the breach is serious. By creating an account you agree to these rules. You must not post, send or link to:

  • Sexual content or nudity, and never any sexual or sexualised content involving a minor. We report child sexual abuse material to the authorities.
  • Graphic violence, or content that promotes or glorifies violence, terrorism or violent extremism.
  • Harassment, bullying, threats, sharing someone's private information, or hate against people because of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age or serious disease.
  • Content that encourages suicide, self-harm, eating disorders or dangerous acts.
  • The sale or promotion of illegal drugs, weapons or other illegal goods and services.
  • Scams, fraud, phishing, malware, spam, fake engagement, or attempts to move people off Upgram to defraud them.
  • Misinformation presented as instruction where it could cause real harm, such as medical, legal or financial advice you are not qualified to give.
  • Content you do not have the rights to, including re-uploads of other people's courses or videos.
  • Impersonation, or misleading titles, thumbnails or course descriptions.
  • Anything else that is illegal where you or the viewer are.

You also must not use bots or scrapers on Upgram, probe or breach its security, interfere with the service, or try to get around a block, a suspension or a limit.

Reporting, screening and blocking

  • Every video, short, course, comment, profile and message has a Report option. Reports go to our moderators, and we aim to review them within 24 hours.
  • We automatically screen what is published, using automated tools including AI: videos and shorts (title, description, the transcript of their sound, summary, tags, thumbnail and frames), courses, profiles, and images sent in chat. Titles, descriptions, profile text and comments also pass a word filter. Flagged content cannot be published; if it is already live, it is taken down at once, you are told what was flagged, and a moderator reviews it.
  • We can remove or restrict content, suspend an account (it cannot sign in, its content is hidden and its chat is switched off, while people who bought its courses keep access) or close it, and report illegal content to the authorities.
  • If you think we got a decision wrong, write to [email protected] within six months. A person will look at it again and tell you the outcome.
  • You can block any account. Blocking removes follows in both directions, closes your direct conversation, and stops the two of you messaging, commenting on or liking each other's content. You can unblock in Settings, Privacy, Blocked accounts.

AI features

Upgram uses AI services (today from OpenAI) to transcribe the sound of uploaded videos, create captions, summaries, tags and search results, recommend content, and screen content for safety. AI-generated text can be wrong: captions, transcripts and summaries are aids, not a substitute for the creator's content or for professional advice. We do not use your content to train AI models, and our AI provider does not train its models on the data we send it.

Messages, courses and certificates

  • You can send direct messages, message requests and messages in course group chats, which our chat provider stores and delivers. Images sent in chat are screened automatically. Do not use messages to spam, harass or pressure people to pay outside Upgram.
  • Instructors are independent and responsible for what their courses teach. Courses are education, not professional advice. Course content reflects the views of the person who made it, not ours.
  • Quizzes are graded by our servers; attempts may be limited and timed, as each quiz shows.
  • A certificate records that an account completed a course on Upgram. Certificates can be verified publicly on upgram.org, are not accredited qualifications, and must not be altered or misrepresented.

Copyright

If you believe content on Upgram infringes your copyright, write to [email protected] with your name and contact details, the work you say is infringed, the link to the content on Upgram, and a statement that you are the owner or authorised to act for the owner. We remove infringing content and close the accounts of repeat infringers.

Ending things

You can stop using Upgram and delete your account at any time: in the app (Settings, Help & Support, Delete Account) or on the web (Settings, Delete account). An instructor account with payout records is the exception: write to us and we close it after the final payout. What deletion removes and keeps is listed on our delete account page.

We may suspend or close an account that seriously or repeatedly breaks these terms, if the law requires it, or if the account puts other people at risk. If we close an account other than for a serious breach, we give notice where we reasonably can and let you ask for a copy of your content.

What we don't promise

Upgram is provided as it is and as available. To the fullest extent the law allows, we give no warranties of any kind, and we do not guarantee that the service will be uninterrupted or error-free, that any content is accurate, or any outcome from a course, including employment, income or a qualification recognised by anyone else.

To the fullest extent the law allows, Upgram is not liable for indirect, incidental, special or consequential damages, or for lost profits, data or goodwill, and our total liability for any claim about the service is limited to the greater of what you paid for the courses the claim concerns in the 12 months before it and US$100.

Nothing in these terms limits rights you have that cannot be limited by contract, including, if you are a consumer in the EU or the UK, your statutory rights about digital content. These terms are governed by the laws of the State of Maryland, USA; if you are a consumer, you may also rely on the mandatory consumer law of the country where you live and bring a claim in its courts.

If you use the iOS app

  • These terms are between you and Upgram LLC only, not Apple, and Upgram, not Apple, is responsible for the app and its content.
  • Your licence to use the app is limited to Apple-branded devices you own or control, as the App Store's Usage Rules allow.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to an applicable warranty, you may tell Apple, and Apple will refund the purchase price of the app, if any; to the extent the law allows, Apple has no other warranty obligation.
  • Upgram, not Apple, is responsible for any product, consumer-protection, legal-compliance or intellectual-property claims about the app.
  • You confirm you are not located in a country subject to a US Government embargo or designated as a terrorist-supporting country, and are not on a US Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Changes

If we change these terms in a way that matters to you, we tell you in the app at least 30 days before the change takes effect, unless the law or abuse of the service requires it sooner. If you keep using Upgram after that, you accept the change; if you do not want to, you can delete your account.
